IRC Governance & Compliance Statement

Guided Healers operates under the Internal Revenue Code as a 501(c)(3) private foundation and is committed to transparent governance, fiduciary care, and strict compliance with all applicable federal tax-exempt rules.

Form 990-PF Filing

We file Form 990-PF, Return of Private Foundation, annually with the Internal Revenue Service. The filing reports our assets, receipts, disbursements, contributions, and compensation in accordance with IRC §6033. Our determination letter and most recent Form 990-PF are available to partners, funders, and reviewers upon request at info@guidedhealers.com.

Conflict-of-Interest Process

Every director and officer is required to disclose actual and potential conflicts of interest annually and whenever a new interest arises. Any transaction involving a related party or disqualified person must be:

  • Disclosed in writing before deliberation or vote;
  • Reviewed and approved in advance by directors who have no interest in the transaction;
  • Documented in the board minutes, including the basis for approval; and
  • Evaluated against the private-foundation self-dealing rules of IRC §4941.

Fair market value alone is never treated as sufficient justification for a related-party arrangement.

IRC §4941 Self-Dealing Guardrails

Guided Healers does not engage in self-dealing between the foundation and any disqualified person, including directors, officers, substantial contributors, or affiliated entities. All corporate and philanthropic partnerships are structured at arm’s length and at fair market value, with no preferential benefit flowing to insiders or related parties.

Board Oversight & Recordkeeping

The Board of Directors retains responsibility for fiscal oversight, program alignment, risk management, and compliance with IRS rules governing private foundations. The Board meets regularly, maintains written minutes, and keeps governance documents — including bylaws, conflict-of-interest policy, and related-party transaction policy — available for review upon request.
